Terms of Service

1. Definitions

• Advertiser — a User who purchases advertising placements through the Platform.
• Publisher — a User who owns or controls a Telegram channel and offers advertising placements via the Platform.
• Order — a confirmed transaction between an Advertiser and a Publisher for one or more advertising placements.
• Escrow — funds held in trust by Teladmarket under Section 6 until release conditions are satisfied.
• Creative — any ad copy, image, video, link, or other material submitted by an Advertiser for publication.
• Dispute — a formal disagreement between Parties opened through the Platform under Section 9.

2. Eligibility & Account Registration

To use the Services you must (a) be at least 18 years of age and capable of forming a binding contract; (b) provide accurate, current and complete information during registration and keep it up to date; (c) maintain the security of your credentials and accept full responsibility for all activity under your account; and (d) not be barred from receiving the Services under the laws of your jurisdiction. We may refuse, suspend or terminate any account at our sole discretion.

Publishers must additionally verify ownership or administrative control of every Telegram channel they list. False ownership claims are grounds for immediate termination and forfeiture of pending payouts.

3. Role of Teladmarket (Intermediary Only)

Teladmarket is a neutral technology platform that connects Advertisers and Publishers and provides escrow, messaging, dispute and reporting tools. Teladmarket is not a party to any advertising contract formed between Users, does not author or endorse Creatives, does not guarantee audience quality, conversions, channel performance, or Publisher behaviour, and is not a payment institution, bank, fiduciary, or broker. All advertising contracts are concluded directly between the Advertiser and the Publisher.

4. Marketplace Listings

Publishers are solely responsible for the accuracy of channel metrics (subscriber count, reach, engagement, demographics, language, niche, pricing). Knowingly inflating metrics, using bots, sub4sub, view-fraud services, or any form of artificial traffic is strictly prohibited and constitutes fraud under Section 12. Teladmarket may independently audit listings and remove or de-rank any listing without notice.

5. Orders & Creative Approval

An Order is binding once the Advertiser confirms checkout and funds are received into escrow. The Publisher must (a) accept or decline the Order within the response window shown at checkout; (b) publish the approved Creative at the agreed time slot; (c) keep the Creative live for the agreed duration (default: 24 hours top + 48 hours feed unless otherwise stated); and (d) not delete, edit or hide the post during that period.

Publishers may reject Creatives that violate their channel rules, applicable law, or Section 8 of these Terms. Rejection must occur before publication; post-publication removal without cause is a breach.

6. Escrow, Payments & Fees

6.1 Escrow Mechanism

All Advertiser payments are charged at checkout and held by Teladmarket in a segregated escrow balance. Funds are not the property of the Publisher until released. Funds are released to the Publisher's Teladmarket wallet automatically 72 hours after the Publisher marks the Order as delivered, provided no Dispute has been opened. The 72-hour window is the Advertiser's review period.

6.2 Service Fee

Teladmarket charges a platform service fee on each completed Order (the "Service Fee"), shown to both Parties before checkout. Payment processor fees, currency conversion fees, and withdrawal fees are borne by the User incurring them.

6.3 Withdrawals

Publishers may withdraw cleared wallet funds subject to (a) a minimum withdrawal threshold; (b) anti-money-laundering and identity verification checks; (c) a withdrawal review period of up to 5 business days for new accounts or large amounts. Teladmarket may delay, reverse or freeze withdrawals where fraud, chargebacks, sanctions screening, or legal process requires it.

6.4 No Off-Platform Payments

Users must not circumvent the Platform by negotiating, invoicing, paying or accepting payment for placements introduced via Teladmarket outside the Platform. Off-platform dealing voids all Platform protections (escrow, dispute, refund) and may result in permanent ban, fee clawback of up to 100% of the bypassed transaction, and legal action for tortious interference.

7. Refunds & Cancellations

• Before acceptance by the Publisher — Advertiser may cancel for a full refund (less non-refundable payment-processor fees).
• After acceptance, before publication — refund at Publisher's discretion; Teladmarket will mediate if requested.
• After publication — refunds only via the Dispute process and only where Section 9 conditions are met (non-delivery, early deletion, materially different placement, fraudulent metrics).
• Refunds are issued to the original payment method or wallet at Teladmarket' discretion and may take up to 10 business days to appear.

8. Prohibited Content & Conduct

Advertisers shall not submit, and Publishers shall not publish via Teladmarket, any Creative that promotes or contains: (a) unlawful goods or services in the audience's jurisdiction; (b) child sexual abuse material, human trafficking, or exploitation of minors; (c) terrorism, violent extremism, or incitement to violence; (d) hate speech or discrimination based on protected characteristics; (e) malware, phishing, account-takeover tools, or stolen data; (f) Ponzi, pyramid, HYIP, "guaranteed-return" investment schemes, unlicensed financial products, or unregistered securities; (g) counterfeit goods, IP infringement, or pirated content; (h) deceptive health, medical, or pharmaceutical claims; (i) gambling or adult content in jurisdictions where prohibited or to audiences likely to include minors; (j) doxxing, harassment, or non-consensual intimate imagery; (k) crypto rug-pulls, fake airdrops, or impersonation of established projects; (l) any content prohibited by Telegram's Terms of Service.

Users shall not: spam, scrape, reverse-engineer, attempt to bypass rate limits or authentication, manipulate reviews, impersonate other Users or staff, transmit malware, or use the Services to facilitate any of the above.

9. Disputes & Resolution

Either Party may open a Dispute through the in-Platform Dispute tool within 72 hours of the agreed delivery time. Permitted grounds include: non-delivery, late delivery beyond the agreed window, early removal of the post, materially different channel/audience than listed, demonstrable bot or fake-traffic activity, or breach of these Terms.

Upon a Dispute being opened, the relevant escrow funds are frozen. Both Parties must respond within 48 hours with evidence (screenshots, post links, analytics, chat transcripts). Teladmarket support staff will review the evidence and render a binding determination within 5 business days, which may include full refund, partial refund, full release, or partial release. Teladmarket' determination is final between the Parties for purposes of the escrow release and is a condition of using the Services. Either Party may still pursue legal remedies independently, but Teladmarket' release of escrow shall stand pending any such proceedings.

All Dispute communication must take place through the Platform support chat. Off-platform communication will not be considered as evidence.

10. Support Chat — Single Channel of Record

All support requests, complaints, evidence submissions, and operational communications with Teladmarket must be made via the in-Platform support chat. Messages sent through that channel are logged, timestamped, and retained for the duration of the legal limitation period. The support chat is the sole authoritative record of communications between you and Teladmarket. Communications by email, social media, or third-party messengers are not binding on Teladmarket.

11. Intellectual Property & Licence

You retain ownership of Creatives and channel content you submit. You grant Teladmarket a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, display, transmit, and adapt such content solely as necessary to provide and promote the Services (including thumbnails, previews, and case studies of public placements). Teladmarket, the Teladmarket logo, and all platform software are the exclusive property of Teladmarket; no rights are granted except as expressly set out herein.

12. Fraud, Chargebacks & Account Actions

Teladmarket operates zero-tolerance anti-fraud monitoring. Without limiting other remedies, Teladmarket may suspend or terminate accounts, freeze funds, claw back released payouts, reverse transactions, and report Users to law enforcement and payment networks where it reasonably suspects fraud, chargeback abuse, money laundering, sanctions violations, identity misrepresentation, fake traffic, or any breach of Section 6.4 or Section 8. Chargebacks initiated outside the Dispute process will result in immediate account suspension and a fee equal to the chargeback amount plus an administrative fee.

13. KYC, AML & Sanctions

Teladmarket may require identity verification (government ID, proof of address, beneficial-owner declaration, tax forms) at any time, and will require it before processing withdrawals above thresholds set by us or by applicable law. You represent that you are not located in, ordinarily resident in, or organised under the laws of any country or region subject to comprehensive sanctions, and you are not listed on any sanctions list. You will not use the Services on behalf of any sanctioned person.

14. Taxes

Each User is solely responsible for determining, collecting, reporting, and remitting any taxes (including VAT, GST, sales tax, income tax, withholding tax) arising from their use of the Services. Teladmarket may collect tax information and issue tax forms as required by law. Prices shown are exclusive of taxes unless stated.

15. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. TELADMARKET DOES NOT WARRANT ANY SPECIFIC LEVEL OF AUDIENCE, IMPRESSIONS, CLICKS, CONVERSIONS, OR REVENUE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELADMARKET, ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. TELADMARKET' AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE SERVICE FEES PAID BY YOU TO TELADMARKET IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

17. Indemnity

You will indemnify, defend, and hold harmless Teladmarket from and against any claim, loss, liability, damage, fine, penalty, cost or expense (including reasonable legal fees) arising out of or relating to (a) your Creatives or channel content; (b) your breach of these Terms or applicable law; (c) your infringement of any third-party right; (d) your tax obligations; or (e) any Dispute between you and another User.

18. Term, Suspension & Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your account at any time, with or without notice, for any breach or suspected breach of these Terms, for legal or risk-management reasons, or where required by law. On termination: (a) outstanding Orders are settled or refunded per Sections 6 and 9; (b) cleared wallet balances become withdrawable subject to KYC; (c) Sections 6.4, 8, 11, 12, 15, 16, 17, 19 and 20 survive termination.

19. Changes to the Terms or Services

We may update these Terms from time to time. Material changes will be announced via in-Platform notice or email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services and may withdraw any cleared balance subject to Section 6.3.

20. Governing Law & Venue

These Terms are governed by the laws of the jurisdiction in which Teladmarket is incorporated, without regard to its conflict-of-law rules. The Parties submit to the exclusive jurisdiction of the competent courts of that jurisdiction for any dispute not resolved through the in-Platform Dispute process, save that Teladmarket may seek injunctive relief in any competent court to protect its intellectual property or platform integrity.

21. Miscellaneous

• Entire Agreement — these Terms (with the Privacy Policy) constitute the entire agreement and supersede prior agreements on the subject matter.
• Severability — if any provision is held unenforceable, the remaining provisions remain in full force.
• No Waiver — failure to enforce a provision is not a waiver of future enforcement.
• Assignment — you may not assign these Terms without our written consent; Teladmarket may assign freely.
• Force Majeure — neither Party is liable for delays caused by events beyond reasonable control (including outages of Telegram, payment networks, or internet infrastructure).
• Notices — operational notices are given via in-Platform support chat or the email on your account.
